What should I do, if I want to register a company in Bangladesh?

In order to register a company, one has to visit primarily the website of the office of the Registrar of Joint Stock Companies and Firms (RJSC). The web address is www.roc.gov.bd

What is RJSC?

The Registrar of Joint Stock Companies and Firms (RJSC) is the sole authority which facilitates formation of companies etc.; and keeps track of all ownership related issues as prescribed by the laws in Bangladesh. The Registrar is the authority of the Office of the Registrar of Joint Stock Companies and Firms, Bangladesh.

RJSC deals with the following types of entities

  • Partnership firms



RJSC accords registration and ensures lawful administration of the entities under the provisions of applicable act as under:

Why is RJSC?

The major functions and activities of RJSC are:

What is Name Clearance?

This is a pre-requisite for registration of a new company (other than Foreign Company and Partnership firms) or a society or a trade organization.
Promoters of a new entity (company, society or trade organization) apply for and RJSC provides name clearance for one of the proposed names upon satisfaction that it does not closely match or resembles with any of the already taken names (registered, booked or under the process of registration of the same entity type)

What is Registration?

Promoters of a new entity apply for and RJSC issues a certificate of incorporation for a new entity upon satisfaction that the application conforms to the provisions of the applicable act and that requisite fees are paid.

What is returns filing?

Registered entities are to file returns in prescribed forms & schedules, and RJSC upon satisfaction approves and archives such records. There are two (2) types of returns, viz., Annual Returns and Returns for any Change in the Entity

What is Issuance of Certified Copies?

Anyone can apply for certified copy of record(s) of an entity. In response to any such application and after getting requisite payment, RJSC issues certified copy of the historical records of an entity. Profit & loss account is however open to only authorized personnel of the respective entity.

What is winding Up?

A company having resolved to or the court makes an order or Memorandum & Articles of  Association provide so for winding up of the company, submits to RJSC documents of winding up procedures and dissolution.

What is struck off?

RJSC strikes off the Register a company’s name if it is not in operation any more.

1. How can an entrepreneur understand whether his/her project is viable or not?

Ans: If your submitted projects meet the following criteria, the project will be considered as viable:

  • Maximum employment opportunities
  • Commercially run and financially profitable

3.If bank will finance an entrepreneur what will be the rate?

Ans: Maximum BDT 10 lac without collateral and interest rate is not more than 10%. (Percentage may vary with the categories of projects) but if the size is going to high than Bank will evaluate the viability of the project and considering their judgment it may vary 12-15% and return of investment also may vary 5 to 15 + years.

4. What will be the Number of installment for the Loan?

Ans: The installment will vary depending on amount/size of loan, business life cycle, bank policy, category of business etc. Bank will finalize the installment terms. Loan payment installment will be determined by the financial banks.

5.How many banks will participate in that initiate?

Ans: More than 38 banks and NBFI’s

6.Will this Expo conduct every year?

Ans: Hopefully, but don’t wait for tomorrow, submit your project now!

7.Will the banks sanction us loan without collateral?

Ans: You can get maximum BDT 10 lac without collateral. More than this you must produce Mortgage to the bank or you can get support from Venture capital Investment company or Angel Investor.

8.What kind of extra facilities a women entrepreneur will get from the banks?

9.If an entrepreneur hasn’t any equity but the project is good then will the banks finance?

Ans: Usually equity is necessary, but bank may consider loan without equity depends on the merit and on case to case.

Ans: No, DCCI can’t give you finance directly, but can give you probable networks for getting finance.

Ans: Yes, he/she can apply loan/finance for business extension or expansion.

14.What type of part DCCI is acting regarding the financing matters.

Ans: DCCI is bridging an entrepreneur to the relevant stakeholders not only for fund but also for other business related issues. DCCI will give you guideline and help you to move to the right authority. The Handbook of Entrepreneurship Development’ is written targeting for the new entrepreneur from where you can get all sorts of idea.

15.If any person has money but no idea, can they also be a part of this Expo?

Ans: Yes he can also part of this event because lot of people have good idea but they don’t have money so you can invest your money to this new entrepreneur and get a share where Venture Capital company or Angel Investor Network may help you for clear formulation.

16.What kind of facilities students can get from DCCI?

Ans: The facilities will remain same for all the entrepreneurs whether he is a student or not. But in getting bank finance he/she must be an adult.

17.Will DCCI help if entrepreneur faces any problems?

Ans: DCCI is a place with business tycoon of Bangladesh. You can at least get the consultancy from these business leaders if you face any business related problems. Usually all sorts of guideline we are highlighting in www.business.org.bd site.

18.Is there any chance to disclose the idea of the projects submitted to DCCI?

Ans: DCCI is maintaining complete privacy and confidentiality policy in handling projects. However, if you feel insecure please patent your idea before submission. The procedures of getting patent rights in Bangladesh are also given in this website.

19.How long the bank takes time to finance after selection of the projects?

Ans:  If you submit the required documents completely, the procedure will not take much time. It will take 1-2 month after completion all criteria.

20.Will the entrepreneur choose the bank regarding the loan?

Ans: DCCI has the authority to forward your projects to banks. But if you have any preferred bank you can notify it to DCCI but you have the 100% right to move physically to the bank with our recommendation or without recommendation.

21.If an entrepreneur has already taken loan will he/she be eligible for this expo? 

Ans: Yes he/she can but must need to prove that his/her loan is not classified. Of classified than he/she has no right to join here.

30.To get a fund of 50 Lac what would be the mortgage asset & interest rate?

Ans. You need almost 1 core (+) valued Land with Building or without building as mortgage or any Security Bond, Interest rate will be 12-13% +-.

31.How many days I will be allowed to adjust or refund the fund?

Ans. 5-7 Years if it is 50 lac if more than 50 lac than depends of your business viability.

32. Is it mandatory to submit All company papers, licensees, bank transaction & statement?

Ans. Yes! You need all supporting paper.

33.If I am approved for 10 to 20 lac fund, on that case do I need to provide any mortgage asset & guarantee?

Ans. 10 lac hope no mortgage needed. But more than 10 lac you need mortgage and guarantee.

34.What are the steps to get fund approved & how many days it may take to get approved? Expected date to release fund?
